Recent management gives much attention to strategic group creation. Many business magazines offer a lot of articles on group management or holding companies planned in Japan. This essay illustrates the incentive problems resulted from information asymmetry when subsidiaries cooperate with each other. A headquarter company is unlikely to evaluate the exact value which a subsidiary creates because it has insufficient information on subsidiary activities. One solution to reduce information asymmetry is merging subsidiaries, but the solution seems to cause detriment to autonomous corporate culture.
\n　単独よりも連結での成果が重視される時代になってきた。2000年3月期決算より、我が国でも連結決算中心のディスクロージャーに転換する。グループ経営を成功させるためにはどうすればよいのだろうか。グループ経営では、コントロールを強めすぎると全体主義的となり各子会社の自主性を損なう可能性がある。一方で、自主性を尊重しすぎてグループのまとまりがなくなってしまうこともあると考えられる。本稿では、グループ経営における本社の果たすべき役割を検討する。そして各子会社の協力へのインセンティブやグループ全体の最適化について考える。
