It aims at the formation of employees' wealth, the improvement of workers' consciousness of the participation in management and the formation of stable stockholder. But, in the system of employees' holdings, there are many problems of the custom and of the legal effect on the contract.\n This paper studies these legal problems and co m pares them with the system of employees' holdings in U.S.A..
