| 内容記述 | A article 290 of the Commercial Law has the purpose that the legal capital has the secured function and protects the benefit of creditors from the distribution of profits to stockholders. But the legal capital is merely the historical record of the amount invested of stockholders. As a practical matter, the concept of the legal capital has been abolished in many States of U.S.A.. From this point of view, I compare with the role of the legal capital in foreign countories and examine the secured function of the legal capital. I want to make clear the future as it ought to be on the system of the legal capital in Japanese companies. | |||||||
